These Terms & Conditions ("Terms") govern your access to and use of the WhatsApp automation platform, websites, and related services (the "Services") provided by wsello("wsello", "we", "us", or "our"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.

2. The Services

wsello enables businesses to connect a WhatsApp number and to send campaigns, build automated sequences, manage contacts, operate a shared team inbox, and engage their customers through messaging. We may add, change, or remove features over time.

3. Acceptable use

You agree that you will not, and will not permit others to:

• Send spam, unsolicited messages, or message contacts who have not given valid consent (opt-in);
• Violate the WhatsApp Business Platform policies, Meta's policies, or any applicable messaging, telemarketing, or data-protection laws;
• Transmit unlawful, fraudulent, deceptive, harassing, hateful, or infringing content;
• Use the Services to distribute malware or to attempt to gain unauthorised access to any system or data;
• Reverse engineer, resell, or misuse the Services except as expressly permitted; or
• Interfere with or disrupt the integrity or performance of the Services.

You are solely responsible for the content you send and for obtaining and documenting consent from every contact you message through the Services.

4. WhatsApp & third-party terms

The Services rely on the WhatsApp Business Platform and third-party messaging providers. Your use is additionally subject to their terms and policies. We are not responsible for changes, restrictions, suspensions, or actions taken by WhatsApp, Meta, or any provider, including the suspension or banning of a connected number resulting from your use.

5. Fees & payment

Paid plans are billed on a per-number or subscription basis as described at sign-up. Fees are payable in advance and, except where required by law, are non-refundable. Messaging charges levied by WhatsApp / providers are passed through to you. We may change pricing with reasonable notice.

6. Your data & privacy

Our handling of personal information is described in our Privacy Policy. You retain ownership of the contact and message data you provide, and you grant us the rights necessary to operate the Services on your behalf.

7. Intellectual property

The Services, including all software, designs, and trademarks (including the wsello name and logo), are owned by wsello or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

8. Suspension & termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or misuse the Services. Upon termination, your right to use the Services ceases and we may delete your data in accordance with our retention practices.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, deliverability, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any message will be delivered.

10. Limitation of liability

To the maximum extent permitted by law, wsello will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold wsello harmless from any claims, damages, liabilities, and expenses arising out of your use of the Services, your content, or your violation of these Terms or any law or third-party rights.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts located in India will have exclusive jurisdiction over any disputes, unless otherwise required by applicable law.
